CORPORATE AND COMMERCIAL

We engage with clients to work on a variety of commercial legal matters, including identification and incorporation of the appropriate business type, advising on issuance of appropriate capital instruments to stakeholders, matters of corporate governance, standardising a suite of day-to-day operational contracts, structuring varied arrangements with partners and vendors, inking contracts relating to real estate acquisition (leasehold and freehold) and negotiating and finalising documentation for debt/lending arrangements.

FUND-RAISING

We have extensive experience in advising on, and running, early and mid-stage investment transactions, both equity and debt, for family offices, venture funds, private equity funds, strategic players and investee companies. We have also advised multiple clients on varied exit transactions, including private sales, strategic sales and IPOs. Our high exposure to the current deal making ecosystem allows us to optimize negotiations and enable swift closure of deals we work on.

Our transaction advisory practice engages with clients at every stage of the transaction life cycle, including structuring deals, drafting and negotiating advisor engagement letters, term sheets, LOIs, deal documentation (such as subscription agreements, shareholders’ agreements, share purchase agreements, option agreements, non-competes, loan agreements, security documentation and the like), and handholding clients through transaction closure processes.

MERGERS & ACQUISITIONS

Our M&A lawyers work with those new to M&A deals and with those experienced in doing deals. We believe always in fostering cooperation with clients and using our intellectual capital to create value for clients. Our strong understanding of varied sectors including food processing, manufacturing, ecommerce, logistics and financial services lends to the value we bring to M&A transactions including joint ventures and restructurings.

We believe that a very important element in almost every M&A deal is the need for a coordinated real-time legal advice. Our approach on every deal is understanding a client’s business intent and adapting to meet it in the most effective way possible.

Our team handles the full array of negotiated and contested deals, which includes asset sales and purchases, joint ventures, securities sales and purchases and strategic mergers.

REGULATORY

The Indian regulatory landscape is complex and challenging to navigate. We work closely with clients to providelegal solutions that are efficient, compliant and optimal, based on needs and nuances.

Our lawyers have significant experience in advising clients on the peculiarities of the Indian regulatory regime, including in relation to foreign direct investment, non-banking services, fintech, food safety, securities laws, ethical business practices and health and safety at the workplace. We strive to know the intent of policymakers and follow historical context in the development of the law allowing our regulatory team to effectively advise on implementing forward-looking business structures, and on management and mitigation of such risks.

DATA PROTECTION

Data protection law is evolving and is trying to address challenges brought in by new disruptive technologies. Today every business has in some way adopted technologies that involve dealing with data. We believe data to be a currency. Having witnessed large commercial data plays in India, we have developed strong expertise in the area and regularly advise on a multitude of structures that mitigate risks related to use of sensitive data.

Our clients include ‘big data’ analyzers, processors and users alike, and for them we have innovated to facilitate achievement of business objectives within the ambit of data protection legislation, including being mindful of evolving privacy concerns.

DISPUTE RESOLUTION

We have represented clients on litigation matters relating to commercial business, financial services, intellectual property, real estate, employment and labour and construction, in various forums such as the Supreme Court of India, high courts, tribunals, appellate and regulatory bodies. Our endeavour is to ensure our litigation strategy factors commercial interests of our clients.

Our team advises clients on commercial arbitration matters,including pre-arbitration strategy, settlement discussions, representation during arbitral proceedings and enforcement of awards or challenges thereto. We have extensively been advising clients in the real estate and EPC sector on matters relating to arbitration disputes and have been successful in securing favorable awards for our clients.

We have also represented clients in proceedings in the High Court and Supreme Court on complex matters relating to trademark infringement and have secured favorable orders for our clients.

EMPLOYMENT

Employment concerns impact every business, and often in different ways. The evolution of labour lawsrequire that businesses receive prudent and practical advice, and the recent overhaul in this area of the law also necessitates that the industry closely follow developing jurisprudence on the employer-employee/worker relationship.

Our lawyers have experience in advising on varied forms of employment and contractual worker arrangements and have advised clients over the years on concerns regarding the enforceability of negative covenants, including non-compete and non-solicitation provisions. We also continue to advise on optimal structuring of remuneration policies and incentive planssuch as ESOPs and phantom schemes, and also advise clients on devising sexual harassment policies and dealing with complaints thereunder, on developing employee manuals and policiesand on management of employment disputes.

HOSPITALITY

The Antares team has spent significant time working with owners and acquirers alike, on varied hospitality projects.The strength of our hospitality practice lies in negotiation of letters of intent, management agreements, brand license agreements, technical and strategic service agreements, and O&M agreements.We also have past experience in reviewing and negotiating such arrangements with leading international hotel operators and brands, on behalf of our clients.

Our hospitality clients have the added advantage of being able to leverage the expertise of our debt financing team, and our knowledge of transactions in the of real estate and food and beverage sectors, allowing provision of a broad spectrum of services in this area.

The Antares team also has experience in assisting clients with acquisition of immovable assets for hotel projects and in negotiating agreements relating to equity financing ofhospitality assets.

REAL ESTATE

Real estate is an important sector and is integral to the day-to-day operations of businesses. Recognizing the need of clients to engage in assignments relating to real estate, we are well placed to advise clients on transactions relating to land acquisition, project financing and equity investments in the real estate sector. Our lawyers have advised on numerous real estate arrangements including in relation to leasing, buy and sell, due diligence and title verifications, and structuring collaboration and joint development agreements.

Arjun has over 15 years of practiseand has studied law at the Pune University. He is also an alumnus of Mayo College Ajmer. He specializes in mergers & acquisitions and private equity investments/venture capital investments.
Arjun has led diverse transactions in the corporate commercial space and has advised clients on many cross border transactions that relate to foreign investment in India and entry strategies. He has extensively advised domestic clients on their various investments and fund raises. The spectrum of industries he has advised on ranges from manufacturing (across diverse sectors), consumer products and durables, retail, financial services, hospitality, health-care, IT, technology and software, ecommerce.

Arjun has been a part of big law firms such as DSK Legal, Dua Associates and was heading the Bharucha Partners office in Delhi. Siddharth Bhavnani

Siddharth Bhavnani has been practicing for over 15 years, having read law at the University of Leicester, UK. He is a transactions lawyer who has over the years advised numerous institutional investors and target companies on private equity and venture capital investment and exit transactions. His understanding of the deal-making process makes him pragmatic solution oriented and a strong negotiator. Siddharth has significant experience in advising on corporate advisory matters, including in relation to foreign investment regulations, company law and varied complex contractual arrangements. He also routinely advises clients in the hospitality sector on management and operations contracts, asset purchase transactions and other investment related mandates.

Siddharth is passionate about working with funds and companies on growth stage mandates, supporting them on building and scaling their operations, and advising on varied mandates for equity and debt financing. His prior experience gives him a strong grasp of commercial objectives that drive corporations, and of the need for legal risk management.

Seher Ali

Fund Raising, M&A and Corporate Advisory

Seher has over 16 years of extensive experience in corporate and commercial laws, real estate and litigation both, in leading law firms as well as in-house. She holds a Bachelor of Laws degree from the Faculty of Law, University of Delhi, and is an alumnus of Lady Shriram College for Women. Seher has advised a broad range of clients on transactions relating to strategic and financial investments, foreign direct investment in India, overseas investments by Indian corporates, mergers & acquisitions, debt raises and private equity, which has equipped her with a deep understanding of a wide array of business ethos. She has experience in varied industry sectors including telecom, pharma, real estate, hospitality, power, infrastructure, banking and finance, information technology, defense and education. She has advised both listed and unlisted Indian and multinational companies and conglomerates in these areas. Her knowledge and experience of the legal, regulatory and commercial nuances across varied industries enables her to continue working with clients across sectors, evolving complex transaction structures and drafting and negotiating transactional documents.

Seher also regularly advises on litigation matters before the Supreme Court of India, various state High Courts, Tribunals and various other fora pan India.

Surbhi Gupta

Regulatory, Corporate Advisory

Surbhi Gupta has been practicing for over 15 years, having read law at the University of Warwick, UK. She has developed her niche advising clients on a range of regulatory matters. Given her domain expertise, Surbhi regularly advises clients on dealing with Indian regulators, including on matters relating to FEMA compliance and the RBI regime. Her in-depth knowledge of the nuanced foreign exchange landscape in India and strong insight on views of Indian regulators allows her to hand-hold clients through a myriad of regulatory issues.

Surbhi works closely with clients to evolve new and innovative structures and arrangements for their operations. Her experience in conducting due diligence reviews and legal audits lends weight to her ability to create such structures and arrangements. She also has a track record of advising clients on joint ventures, including on minority rights, entry and exit strategies and deadlock resolution, and leverages her experience on these aspects to do so.
